We are looking for a qualified, skilful, and proactive Company Secretary (CS) who is well-versed in corporate law, finance, governance, strategy, due diligence, transactions, registrations, and corporate secretarial practice. The understanding of the subject matter should be excellent.
Qualification- Qualified Company Secretary with 0-2 years of experience
Roles and Responsibilities –
- Maintaining all company statutory documents and records for the clients.
- Managing Board and Committee meetings, drafting the agenda and resolutions, coordinating the board meetings and post-meeting corporate filings, minutes, etc. for and on behalf of clients.
- Prepare agenda, draft resolutions and record the minutes of the Board meetings, Committee Meetings, and Shareholders Meetings for clients.
- Should be familiar with various ROC filings including XBRL filing.
- Meet the compliance requirements under the Companies Act, 2013 and other relevant laws and of various Statutory Agencies and regulators as per the client’s requirement.
- Monitor changes in the relevant legislation and the regulatory environment and initiate appropriate action wherever required.
- Should be able to handle, participate and manage Statutory and Secretarial Audits.
- Drafting, Alteration of Memorandum and Articles of Association and Shareholder agreements, Term sheets, share transfers, etc.
- Managing depository-related activities for the company’s equity and debt instruments.
- Managing activities related to additional compliance requirements like filing charges for borrowings, stamp duty, and other such compliance requirements whenever required
- Liaise and coordinate with, ROC, RD, NSDL & FRTA for the transfer, transmission, and dematerialization of securities
- Assisting in maintaining statutory books, including registers of members, directors, and secretaries, MIS reports, and reports under the Compliances of Companies Act.
- Transfer and Transmission of Shares, maintaining statutory records, books, and registers, managing secretarial/ compliance audits, Public Issues/ Right Issues, and listing of securities.
- Should be able to draft different legal documents and agreements like rent agreements, partnership deeds, etc.
- Should be able to register under various laws like the Companies Act, GST, Trademarks, other state laws, etc.
- Should be familiar with regulatory reporting and Due diligence.
- Should be familiar with capital structuring and restructuring.
- Should stay up to date with various amendments under the Companies Act, 2013
Skills and Knowledge Required –
- Well-versed with the provisions of the Companies Act, 2013 Act
- Ability to interpret and analyze the provisions of the Act.
- Well-versed with SEBI regulations (In the case of listed companies)
